1. This website
The content of this site is provided for general information about METALCORE GLOBAL and its services. It is not an offer capable of acceptance and does not create a contract. Descriptions of services, modules and roadmaps may change without notice.
2. Quotations
Any quotation we issue is based on the scope, volumes and assumptions stated in it, and is valid for 30 days unless stated otherwise. A quotation becomes binding only when both parties have signed a written agreement or accepted a purchase order that we have confirmed in writing. Work outside the agreed scope is quoted separately.
3. Engagements
Delivery timelines, milestones, acceptance criteria, payment terms and support arrangements are defined in the individual engagement agreement. Where this page and a signed agreement conflict, the signed agreement prevails.
4. Client responsibilities
AI systems depend on the data and access provided to them. Clients are responsible for supplying accurate source material, for holding the rights to data shared with us, and for nominating the approvers who authorise commercial actions produced by the system.
5. Intellectual property
Unless agreed otherwise in writing, clients own the deliverables produced for them under an engagement, including source code and prompts created specifically for that engagement. We retain ownership of our pre-existing tools, libraries, templates and know-how, and grant clients a non-exclusive licence to use them as embedded in their deliverables.
6. Confidentiality
Each party will keep the other's non-public information confidential and use it only for the purposes of the engagement. This obligation survives the end of the engagement.
7. AI output and human review
Systems we build may produce output that is inaccurate or incomplete. Clients agree to maintain the human review and approval steps defined in the engagement, and not to rely on AI output as the sole basis for legal, financial or safety-critical decisions.
8. Limitation of liability
To the extent permitted by law, our total liability arising out of or in connection with an engagement is limited to the fees paid for that engagement, and we are not liable for indirect or consequential loss, including loss of profit or business interruption.
9. Governing law
These terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Ras Al Khaimah, and the courts of Ras Al Khaimah have exclusive jurisdiction, subject to any arbitration clause in a signed agreement.
